Terms of Service
These Terms form a binding agreement between you and Spacemate Company when you use Spacemate as a buyer, vendor, vendor manager, or visitor. Please read them together with our Privacy Policy.
Agreement to these Terms
These Terms of Service (“Terms”) govern access to and use of www.spacemate.ng and related services operated by Spacemate Company (“Spacemate”, “we”, “us”).
By browsing the site, creating an account, applying as a vendor or vendor manager, or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Spacemate.
If you use Spacemate on behalf of a business, you represent that you have authority to bind that business to these Terms.
Marketplace model
Spacemate is an online marketplace. Independent vendors list and sell products; Spacemate provides the platform, payment collection, escrow, shipping integrations, dispute tools, and related services.
Except for products sold under our house collection (Holms), Spacemate is not the seller of vendor-listed goods. Product descriptions, availability, fulfilment timelines, and statutory consumer rights relating to the goods themselves are primarily the responsibility of the vendor, subject to our dispute and escrow processes.
Seller and manager badges (including Verified Seller and performance marks) reflect specific criteria such as admin review, shipping performance, or ratings. Badges are informational and do not guarantee future performance.
We may moderate listings, suspend vendors, or remove content that breaches these Terms or harms buyers.
Accounts and eligibility
You must be at least 18 years old and capable of entering a binding contract under Nigerian law. You must provide accurate, current information and keep your login credentials secure.
You are responsible for activity under your account. Notify us immediately if you suspect unauthorised access.
We may suspend or terminate accounts that violate these Terms, engage in fraud, abuse other users, or create legal or reputational risk for the platform.
Buyers
When you purchase on Spacemate:
- Product prices are shown in Nigerian Naira (₦) unless stated otherwise. Taxes and delivery fees (where applicable) are shown at checkout.
- You may check out as a guest by providing an email address for order updates, or create an account for a fuller order history.
- You enter a contract of sale with the vendor for vendor-listed goods (or with Spacemate for Holms house products where identified as such).
- You must provide a valid delivery address and accurate contact details.
- You must inspect deliveries promptly and raise disputes within the window shown on your order page if something is wrong.
- You may confirm delivery before the dispute window closes; doing so releases escrow to the vendor immediately and ends your ability to open a platform dispute for that order.
- You must not misuse reviews, disputes, or chargeback processes.
Orders, payments, and escrow
Payment is processed through Paystack. When you pay, funds are held in escrow on the platform until release conditions are met: (a) you confirm delivery, (b) the auto-release date shown on your order (based on category settings, typically several days after shipment), or (c) we resolve a dispute or take admin action.
You may confirm delivery during the dispute window shown on your order page. Doing so releases payment to the vendor immediately and ends your ability to open a platform dispute for that order.
Listed prices include VAT where applicable. Spacemate deducts an agreed platform fee from each sale's GMV. On referred vendors, an independent vendor-manager share is also deducted from GMV — it is not taken from Spacemate's platform fee.
Vendor-issued discount codes reduce the buyer's price; platform and manager shares are calculated from pre-discount item subtotals unless we agree otherwise in writing.
Withholding tax (WHT) is calculated and withheld from vendor and manager shares on escrow release. Spacemate maintains remittance records for tax compliance; actual transfer to FIRS is performed through our internal remittance process. Vendors may download WHT credit notes from Earnings after release.
Escrow release records the amount owed to vendors and managers. Settlement to bank accounts is handled separately from buyer checkout and may require additional processing time after release.
If a dispute is opened in time, escrow release may be delayed pending resolution. Our decision on platform escrow disputes is final for release purposes, without prejudice to your rights under mandatory consumer protection law.
Failed or reversed payments may result in order cancellation. We are not responsible for bank or card issuer delays outside our control.
Shipping and delivery
Delivery options, costs, and estimated timelines are shown at checkout where available. Estimates are not guaranteed and may depend on vendor processing time and courier performance.
Risk of loss or damage passes in accordance with the vendor’s stated terms, courier terms, and applicable law. Photograph damage on delivery where possible and raise a dispute promptly.
Disputes, refunds, and chargebacks
If an order is defective, not as described, not delivered, or otherwise disputed, use the dispute flow on your order page while the order is still eligible (typically while it is marked shipped and within the dispute window shown on the order). Provide a clear description and at least two photos through the order page.
We may request information from you and the vendor and will decide outcomes in good faith — including a full refund to the buyer via Paystack, release of escrow to the vendor, or other remedies permitted by law. Automated refunds through the platform are full-order refunds.
Initiating a chargeback with your bank without first using our dispute process may delay resolution and may affect your account standing.
Vendors
Vendors must provide accurate listings, images, dimensions, and prices, and honour stated prices at checkout. They must ship within reasonable time, comply with applicable consumer, product-safety, and tax laws, and keep payout bank details accurate (material changes after approval may require our review).

Store closure requests are subject to admin approval and may suspend your storefront and archive active listings.
Vendors must not divert buyers off-platform to avoid fees. Spacemate may delay escrow release or settlement during disputes, moderation, or policy investigations and may remove listings or suspend vendors for breach.
Vendor managers
Vendor managers are independent participants who refer and support vendors on the platform under a separate application and approval process. On qualifying orders, managers receive a fixed share of the sale's GMV (not a share of Spacemate's platform fee), as disclosed during onboarding.
Vendors who join through a manager referral may receive a reduced platform fee for an initial period (currently six months), after which standard referred-vendor rates apply, as disclosed at onboarding.
Approved managers may create and edit product listings for assigned vendors only. Orders, escrow, and payouts still flow to the vendor. Managers must not misrepresent their relationship with Spacemate, must comply with these Terms, and must not engage in fraud or off-platform fee circumvention. We may suspend or terminate manager accounts for breach.
Design tools and room-fit features
Style quiz results, palettes, mood boards, room dimensions, and similar features are provided for inspiration and planning only. They do not constitute professional interior design, architectural, engineering, or structural advice.
Room-fit and dimension tools are guides — always verify measurements and suitability before purchasing. Spacemate is not liable for purchase decisions based solely on these tools.
Reviews, reveals, and user content
You retain ownership of content you submit (reviews, images, board items, etc.), but grant Spacemate a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and promote that content in connection with the platform.
You must not submit unlawful, defamatory, infringing, or misleading content. We may remove or moderate content and suspend accounts that breach this section.
Intellectual property
Spacemate branding, website design, software, and original platform content are owned by Spacemate or its licensors. You may not copy, scrape, or reverse-engineer the platform except as permitted by law.
Vendor product images and descriptions remain the vendor’s responsibility; vendors represent they have rights to list them and indemnify Spacemate against third-party claims arising from their listings.
Prohibited conduct
You may not:
- Complete marketplace transactions off-platform to avoid fees.
- List counterfeit, stolen, unsafe, or illegal goods.
- Upload false, misleading, or infringing content.
- Access accounts, admin systems, or data you are not authorised to use.
- Use bots, scrapers, or automated means that burden or circumvent the platform.
- Harass, threaten, or discriminate against other users.
Disclaimers and limitation of liability
The platform and Design tools are provided “as is” and “as available” to the fullest extent permitted by law. We do not warrant uninterrupted, error-free, or completely secure operation.
To the maximum extent permitted by Nigerian law, Spacemate is not liable for indirect, incidental, special, or consequential losses, or for loss of profit, data, or goodwill arising from vendor actions, courier delays, payment networks, or events outside our reasonable control.
Nothing in these Terms limits liability that cannot be limited under mandatory consumer protection law or for fraud or deliberate wrongdoing.
Indemnity
You agree to indemnify and hold harmless Spacemate and its officers, employees, and agents against claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your listings, your content, or your violation of law or third-party rights — except to the extent caused by our own negligence or breach.
Governing law and disputes
These Terms are governed by the laws of Nigeria, Federal Republic of Nigeria.
Disputes between you and Spacemate relating to the platform should first be raised with us at support@spacemate.ng. If unresolved, disputes may be submitted to the competent courts in Lagos, Nigeria, unless mandatory consumer protection rules require otherwise.
Changes to these Terms
We may update these Terms from time to time. The “Last updated” date will change when we do. Material changes may be notified by email or site notice. Continued use after the effective date constitutes acceptance.
